Disposition Procedures
At the conclusion of the proposal review and interview process, a preferred
master developer for the University Gateway Center will be tentatively
designated. The tentative designation will specify a limited time frame
within which the designated developer must negotiate and enter into a
satisfactory Preliminary Development Agreement with Campus Partners, or
a subsidiary thereof, which establishes a coordinated framework for project
implementation. The inability to enter into a mutually satisfactory agreement
between the tentatively designated developer and Campus Partners within
a specified time frame will result in the tentative designation being
rescinded. The Preliminary Development Agreement will establish requirements
relating to items such as:
- Time frames for the submission (by developer) and approval (by Campus
Partners) of design documents, including conceptual, schematic, design
development and final working drawings and specifications;
- Firm financing commitments for all elements of the project;
- A development and phasing schedule;
- Preliminary Land Lease and/or other financial terms and conditions
establishing an appropriate financial return to Campus Partners;
- Roles and responsibilities related to securing appropriate public
commitments from the City of Columbus, the State of Ohio, The Ohio State
University, and other public entities;
- Community input into the planning and implementation process;
- Delineation of critical design, use, and operational consideration.
Final designation as project master developer will be granted upon execution
of a mutually satisfactory Preliminary Development Agreement. Campus Partners
may rescind the final designation for non-performance, under terms and
conditions to be negotiated within both the preliminary and subsequent
development agreements.
The president of Campus Partners will be authorized for and on behalf
of Campus Partners (or a subsidiary thereof) to execute a long-term ground
lease, leasing the property to the developer in accordance with the terms
of the Development Agreement.
When improvements are completed in compliance with the terms and conditions
of the lease, Campus Partners, or its designee, will issue a Certificate
of Completion signifying that the project has been undertaken in compliance
with all agreements between Campus Partners and the developer.
Campus Partners reserves the right to reject any and all proposals.
